Terms of Service
Clivly is operated by Clivly. Last updated 22 October 2026. Questions: support@clivly.com.
These terms are a working draft while Clivly prepares for general availability. They describe how the service works today, and they will be revised. We will tell account owners before a revised version takes effect.
Agreeing to these terms
By creating an account or using Clivly you agree to these terms on behalf of yourself and, if you use Clivly for an organisation, that organisation. You must be at least 16 and able to enter a contract. Our Privacy Policy explains how we handle personal information and forms part of these terms.
The service
Clivly is a customer relationship manager hosted at clivly.com. It connects to an application you run through Clivly's client packages, syncs the records and fields you choose to map into your Clivly Cloud workspace. CRM changes are stored in Clivly Cloud rather than written back to your application's database. Self-hosting is not offered.
The client packages published on npm are licensed under the MIT licence, and that licence, not these terms, governs your use of their code. These terms govern the hosted service.
Your account
You are responsible for the accuracy of your account details, for keeping your credentials and API keys secret, and for everything done under your account and your workspace's keys. Verify your email address before signing in. Tell us promptly at support@clivly.com if you believe your account or a key has been compromised.
A workspace's owners and admins control who belongs to it, what each member can do, and which applications and agents are connected.
Trials, plans and payment
A new workspace starts with a 14-day trial with no card required. When a trial ends without a paid plan the workspace turns read-only: you can still sign in and export your data, but nothing sends or syncs. A read-only workspace and its data are deleted 60 days later, and we email the owners before that happens.
Paid plans are billed per member, in advance, monthly or annually, through Stripe, at the prices shown on the pricing page when you subscribe. Each plan includes an allowance of credits; usage beyond it is billed on your next invoice, and is never used to stop a paying customer's email. On a trial, usage beyond the allowance is refused instead. Taxes are added where they apply.
You can cancel at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period, and we do not refund partial periods unless the law requires it. We may change prices with at least 30 days' notice; a change applies from your next renewal.
Your data
You own the data you and your connected applications put into Clivly. You give us permission to host, process and transmit it only as needed to provide, secure and support the service, as described in the Privacy Policy. You are responsible for having the right to process the personal data you bring into Clivly, including the consent or other legal basis needed to email the people in it.
You can export your data at any time, including while a workspace is read-only.
Acceptable use
You agree not to use Clivly to:
- send unsolicited bulk email, or email people who have unsubscribed or whose addresses you obtained without permission;
- break the law, infringe others' rights, or send harmful, deceptive or malicious content;
- probe, overload or circumvent the security, rate limits or usage metering of the service;
- access another workspace's data, or resell the service without our written agreement.
We may suspend sending, an API key or an account to stop abuse or protect the service, and will tell you why unless the law or an ongoing investigation prevents it.
Third-party services
Clivly relies on providers including Stripe, Resend, Cloudflare and Neon. If you connect a mailbox, an AI feature or an agent, your use of that provider is also subject to its terms, and you are responsible for what you authorise an agent to do.
Availability and changes
We work to keep Clivly available and secure but do not promise uninterrupted service, except where an Enterprise agreement sets a service level. We may improve, change or retire features; if we remove something material to a paid plan we will give reasonable notice.
Disclaimers and liability
To the extent the law allows, the service is provided "as is", without warranties of any kind beyond those these terms state. Neither party is liable to the other for indirect or consequential loss, or for lost profits, revenue or data. Our total liability for any claim is limited to the amount you paid for the service in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.
Ending the agreement
You can stop using Clivly and delete your workspace at any time. We may end these terms for a serious or repeated breach, after notice where that is practical. On termination your access ends, and your data is deleted as described in the Privacy Policy.
Changes to these terms
We will post changes here with a new date. For a material change we will email workspace owners at least 30 days before it takes effect; continuing to use Clivly after that means you accept it.
